The Website and Services are hosted and facilitated through Zenler, a third-party platform providing website hosting, content distribution, and email technologies. By accessing or using the Website or Services, you agree to be bound by these Terms, our Privacy Policy, Cookie Policy, and all applicable laws. If you do not agree, you are not authorized to use the Website or Services.

1. Acceptance of Terms

Your access to or use of the Website or Services signifies your acceptance of these Terms, the Privacy Policy, Cookie Policy, and all applicable laws. You represent that you have the legal capacity to enter this agreement or, if under 18, have obtained parental or guardian consent.   • Removing or altering any copyright, trademark (including the Vocah logo), or proprietary notices.

This license terminates upon any breach of these Terms or at Vocah LLC's discretion. Upon termination, you must cease use of the Website and Services and destroy any materials in your possession.

3. User Accounts

Access to certain Services, such as coaching programs, may require a user account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the confidentiality of your account credentials and notify Vocah LLC at srvc@melcon.net of any unauthorized use.
  • Be responsible for all activities under your account.

Vocah LLC reserves the right to suspend or terminate your account without notice or liability for any violation of these Terms or other reasons at its discretion.

4. Coaching Services

The Website provides access to the Melcon Wagner coaching program, including online courses, coaching sessions, training, and entertainment content, all created by Melcon Wagner and owned by Vocah LLC, hosted via Zenler. You acknowledge that:

  • The Services are for informational and educational purposes only and do not constitute professional advice (e.g., legal, financial, or medical).
  • Results are not guaranteed and depend on your individual effort and circumstances.
  • You are responsible for evaluating the suitability of the Services.

5. Intellectual Property

All content on the Website, including text, graphics, coaching materials, the Vocah name, and the Vocah logo (a registered trademark), is owned by Vocah LLC or its licensors and protected by U.S. and international copyright, trademark, and intellectual property laws. All rights are reserved. No content may be used without prior written consent from Vocah LLC, except as permitted herein.

If you provide Submitted Content as an instructor, you warrant that:

  • The content does not infringe third-party intellectual property rights.
  • You have obtained all necessary licenses or permissions.
  • You are responsible for any royalties (e.g., to MPEG-LA for HEVC compression).

6. Disclaimer of Warranties

The Website and Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, or non-infringement. Vocah LLC, Melcon Wagner, and Zenler do not warrant:

  • The accuracy, completeness, or reliability of content or Services.
  • That the Website or Services will be uninterrupted, error-free, or secure.
  • That any defects will be corrected.

7. Limitation of Liability

To the fullest extent permitted by law, Vocah LLC, Melcon Wagner, their affiliates, Zenler, and their respective officers, directors, employees, or agents shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from:

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising from these Terms, the Website, or Services shall be resolved exclusively through binding arbitration in Denver, Colorado, under the rules of the American Arbitration Association.   • Your Submitted Content or infringement of third-party rights.
  • Any act or omission causing harm to Vocah LLC, Melcon Wagner, Zenler, or others.

Entire Agreement: These Terms, Privacy Policy, and Cookie Policy constitute the entire agreement between you and Vocah LLC.

Severability: If any provision is invalid, the remaining provisions remain in effect.

No Waiver: Failure to enforce any provision is not a waiver.

Assignment: You may not assign your rights without Vocah LLC's consent; Vocah LLC may assign these Terms.

Force Majeure: Vocah LLC and Zenler are not liable for delays due to events beyond their control.
